SACMI GROUP HAS SOLD ITS BEVERAGE, MACHINERY & LABELLING DIVISION TO OMNIA TECHNOLOGIES CAVOUR advised SACMI Group in the sale of its Beverage, Machinery & Labelling division to Omnia Technologies, a Group of companies specialized in food & beverage automation technology, controlled by Investindustrial Fund
SACMI is an international group, a leading supplier of advanced technologies for various sectors, such as among others, machinery for Ceramics, Plastics processing and Food & Beverage that operates with more than 70 operating companies in 26 countries worldwide and in 2023 generated more than € 2 billion in revenues
SACMI appointed in March 2023 Cavour and Ing. Maestroni, partner and expert in the Packaging Machinery & Materials sector, to find a potential buyer for the Beverage Machinery and Labelling business units (hereafter SACMI Beverage) and to coordinate the divestment process.
SACMI, in its multi-year development plan, has decided to focus its managerial and financial resources on the group’s core business, and therefore to divest the Beverage BU, which has achieved excellent results in recent years, thanks to a process of focusing on the production lines with higher added value and developing some new markets, and which has increased consolidated sales from about € 100M in 2020 to over € 150M in 2023, with a very important improvement also in margins and cash generation.
Based in Parma, the Beverage Business Unit supplies blow molding and bottling machinery for packaging liquid products in plastic, metal and glass. SACMI Labelling, based in Verona and Nanhai (China), on the other hand, provides automated labeling solutions for beverages, beer, food, detergents and wine.
The excellent growth prospects, the work done by the Cavour and SACMI team made it possible to make the most of the Company and to receive an offer in line with the expectations of the ownership
SACMI Beverage has in fact immediately aroused strong interest from several international players, and Sacmi with Cavour then decided to give the exclusive negotiation to Omnia Technologies (OT), especially in function of the industrial project presented, which envisages the establishment of a leading Italian group in primary and secondary beverage packaging machinery, which can compete with large groups at global level
This transaction, together with another one that is being finalized and will be announced in the coming days, allows Omnia Technologies to create a new BU, and to reach a total turnover in 2024 of about €700M, having completed in just 4 years almost 30 acquisitions.
Cavour also advised SACMI during the whole due diligence phase, which required a considerable effort, given also the presence of numerous commercial subsidiaries in different countries, also operating for other Sacmi group companies, which required separation from the group and the establishment of dedicated legal companies. Also nearing completion is the carve-out of information systems and a number of centralized functions, which will still require several weeks of intensive work. Closing is expected by the end of July.
Once again the increasingly evident importance of the role of PEs in the consolidation process of Italian SMEs, and consequent creation of new domestic industrial groups capable of competing in world markets with foreign market leaders, in this case with American and German Groups, is confirmed.
