Cavour advised Cefla Dental Division in the acquisition of MHT

Cefla Dental Group, European leading group in the production of dental equipment, proceeds in its strategy to expand its share in dental and medical market with the acquisition of MHT Spa, a company based in Verona which specialises in the production of electro-medical devices.
MHT has started an advanced research project in the optic’s field, carried out by a vanguard team of technicians and engineers, with the goal to develop new technologies for applications in the electro-medical field.
“3 D Progress” is a patent for an innovative intraoral scanner which allows to obtain dental prosthesis without the use of dental technicians. The products have already been tested and the distribution is planned to start at the beginning of 2010.
The transaction includes the acquisition by Cefla of a minority interest in MHT via capital increase plus the option to acquire majority/100% starting from 2012.
Cefla also acquired patents and know-how of the 3D Progress which will be produced and distributed by Cefla Dental Group’s sales network present in over 40 countries worldwide.
This acquisition will strengthen the Imaging Division of Cefla Group active in the design, production and distribution of X-ray units, digital sensors, intra-oral cameras as well as a complete selection of panoramic imagers for dentistry. The Digital Imaging is mainly growing in the European and American markets.
In 2008 Cefla Dental Division had a turnover of over 100 million Euro, with a 16,2% growth on the previous year.
Cavour Corporate Finance promoted the deal and advised Cefla in the definition of corporate and commercial agreements with MHT. Cavour previously advised Cefla Group in the acquisition of Stern Weber in 1999 and in the acquisition of Mocom in December 2008.
