Cavour advised Cinti Group in a commercial agreement with Deichmann

Cinti Spa, Italian company manufacturing and distributing medium quality shoes under Cinti brand and high Chinese quality shoes under C6 brand, signed a manufacturing and commercial agreement with the German Group Deichmann, the largest worldwide shoes retailer.
According to this agreement Deichmann acquired four C6 shops, located in shopping centers in Northern-Center Italy, and supply them with some shoes lines made in China.
Cavour has been managing the sale mandate since 2006; our assignment included at first the research of a partner to support the growth and the Group’s investments and the possible sale of the majority/100% of C6 shares and a minority of Cinti shares.
Through the IMAP network, Cavour identified a list of 40 prospect international buyers and started negotiations with some of them; in addition to the German Group, also ERAM (France) and Brantano (Belgium) were interested.
Negotiations with Deichmann led to the definition of a preliminary agreement for the purchasing of 75% of C6 and 49% of Cinti shares by Deichmann, subject to a financial due diligence. In the course of the due diligence process the parties went to the decision to sign a manufacturing a commercial agreement.
In January 2007 Cinti and Deichmann signed the contract for the supply of some C6 shops with Deichmann Chinese shoe lines, in order to taste their liking by the Italian consumers.
In addition, Deichmann provided for a financial support to Cinti.
One year later, the parties defined an asset deal by the acquisition of some shops by Deichmann. In particular, Deichmann succeeded to Cinti in the rental and management agreement of 4 shops, located in shopping centers of Northern and Center Italy, for a global value of 2,5 million Euro.
